Introducer Agreement

By activating your account with DISL you agree to be bound by the terms and conditions of this Introducer Agreement.

 

Permitted Activities

 

You may only carry out the following activities: -

 

Display and provide insurance marketing materials provided by and directed by DISL. You will not use any materials in your possession unless they are approved in writing by DISL.

 

Prohibited Activities

 

You are not allowed to carry out either directly or indirectly insurance activities including the following: -

 

advising on contracts of insurance

arranging contracts of insurance

making arrangements with a view to transactions in contracts of insurance

assisting in the administration and performance of contracts of insurance

dealing in contracts of insurance as an Agent

actively providing insurance information (eg mailing information to policyholders and potential holiday policyholders)

agreeing to conduct any of the above regulated activities

provide generic advice e.g. recommend DISL or the purchase of the Insurance

 

Exclusivity

 

You will not carry out the Permitted or Prohibited Activities above for any other person (individual or legal entity) unless agreed in writing by DISL.

 

Liability

 

If you have any doubt about the contents of your obligations under this Agreement you must seek independent advice. If you conduct any activities other than the Permitted activities listed above you may be subject to penalties under the Financial Services and Markets Act. DISL does not accept liability under the Agreement for the consequence of any non-permitted activities carried out by you.

 

Remuneration

 

In return for the activities to be conducted under this Agreement you shall receive a commission equal to 25% of the premium (excluding tax) generated by Cargo Owners where you are selected as the Freight Forwarder. Commission is earned from the date that the account is activated there shall be no retroactive payment of commission.

 

DISL shall settle all commission due monthly within 30 days of the month end by BACS. It is a condition of this Agreement that you supply a UK bank account to receive commission due.

 

Cooperation

 

If we have any reason to believe that your activities under this Agreement may be be subject to to enquiries by the FSA, you agree to cooperate to provide access to the FSA and DISL representatives, with reasonable notice, during reasonable business hours to any of your business premises in relation to your performance of your obligations under this Agreement.

 

DISL Proprietary Rights

 

Any marketing and insurance materials provided by us including copyright and other intellectual property rights in such material will at all times remain the property of DISL.

 

Confidentiality

 

Except as provided below, you will maintain as confidential and not disclose to any person, nor use for any purpose other than the proper performance of your obligations under this Agreement, any data or information which you obtain or which otherwise comes into your possession concerning any aspect of DISL's business. You will be responsible for any violation of this clause by your agents, employees, professional advisors or sub-contractors.

 

this duty of confidentially shall not apply to any information which can be shown to be:

 

1) In the public domain at the time it was disclosed

2) Information which has become public knowledge other than by breach of this Agreement; or

3) Required to be disclosed by law or regulatory requirement to which you are subject.

 

Duration & Termination

 

This Agreement comes into force on the activation of your account and will continue until terminated by either party giving the other not less than one month's notice in writing or unless terminated immediately if either party commits a material breach of the provisions of the Agreement.

 

Notices

 

It is a requirement that you maintain the address stored in the DISL database. All notices shall be in writing and are deemed delivered if sent to the address entered into the DISL database.

 

General

 

1) You may not assign or transfer this Agreement to any third party without DISL's prior consent

2) All variations to this Agreement must be in writing.

3) This Agreement is governed and construed under English Law and is subject to the jurisdiction of the Courts of England.
